Article III
Members of this organization shall include, but not be limited to, the parents and guardians of all students enrolled in Sanborn Elementary, the staff and administration, and interested community members.
Article IV
Section 1A
The elected officers shall be president, president-elect, secretary, and treasurer, and member-at-large.

One person shall serve in each elected office unless otherwise decided by the Executive Board officers.

President-Elect, Treasurer, and Secretary are strongly encouraged to serve two full year terms in these positions. It is understood that President-Elect serves one term as President-Elect and serves the following term as President.
2A
The officers shall be elected annually by a majority vote of the members present at the April general meeting. The Nominating Committee shall present a slate of candidates at the March general meeting. Members attending either of these meetings may nominate candidates from the floor before elections are held.

Officers shall assume their official duties at the beginning of the new school year (August) and shall serve for a term of one year. Shadowing Newly elected officers will shadow from the April election to the May general meeting the incumbent until their term begins.
Article V
Section 2. President-Elect and Section 3. Secretary
~A. The president-elect shall assume the duties of the president in his/her absence.
B. The president-elect shall secure the necessary speakers or talent to provide the programs decided upon by the Executive Board and to help accomplish the objectives of the organization.
C. In the event the president resigns, the president-elect becomes president with the Executive Board appointing a new president-elect.
A. The secretary shall keep a record of all Executive Board, regular, and special meetings of the organization. The secretary shall also conduct the correspondence of the organization and give notice of time and place of meetings.
B. The secretary shall develop a report with highlights of all the regular and/or special meetings for the school newsletter or any other notice to general membership.
C. The secretary will be the keeper of all documents and reports generated for and by the organization.~~

A. The Member-At-Large shall keep a record of all officer meetings and provide a report with highlights to present at the next general meeting.
B. In the absence of either the President or Treasurer, the Member-at-Large will fill their role at general meetings.
Article VI
Section 1
The Executive Board shall be made up of the President, President-Elect, Secretary, Treasurer, Member-at-Large, Sanborn Elementary Principal, and 5-6 additional board members who will help with the fundraising/social functions of Sanborn Elementary School.

The Executive Board is officers are responsible for developing the agenda for regular and special meetings.

The Executive Board is officers are responsible for making decisions on situations which arise and require action prior to the next regular meeting.

A simple majority vote is required for approval by the Executive Board on any decision made. All Executive Board members must be contacted by the secretary and their vote recorded in order for action to be taken. Any decisions made by the Executive Board officers on behalf of the organization must be presented at the next regular meeting.
Article VII
Section 1, C
The bank accounts shall be under the names of 4 Executive Board members two (2) officers. Any transaction shall require 2 of the 4 both signatures.
Section 3
No part of the net earnings of the corporation organization shall benefit, be distributed to its members, trustees, officers or other private persons, except that the corporation organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth.
Article VIII
B
No substantial part of the activities of the corporation organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office.
C
This organization shall run by Robert’s Rules of Order Concensus-based decision-making with majority vote rule.
Article X
Upon the dissolution of this corporation organization, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(C)(3) of the Internal Revenue Code (or corresponding section of any future tax code), or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the corporation organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
